These Terms of Service ("Terms") govern your access to and use of the services, tools, website, APIs, and other offerings provided by Zero Day ("we", "us", "our", or "Zero Day"). By using or accessing any part of our services, you agree to be bound by these Terms, along with our Privacy Policy.

If you disagree with any part of the Terms, you must discontinue use of the Services.

1. Definitions

In these Terms, unless the context requires otherwise:

  • "Service(s)" means the automation tools, web applications, APIs, mobile or desktop applications, and related functionality provided by Zero Day.
  • "User", "you", "your" means any individual or entity who accesses or uses the Service, or registers an account.
  • "Account" means the user account you create to use the Service.
  • "Scope Access / Scopes" means permissions (e.g. Gmail scopes) that you may grant Zero Day to access certain parts of your Google / Gmail data.
  • "Automations / Tasks" means the specific automated operations you initiate via our Service.
  • "Content" includes any data, text, files, messages, or inputs you provide or that are generated via the Service.

2. Eligibility & User Commitment

  1. Age Requirement: You must be at least 13 years old (or above the minimal age required under applicable law) to use the Service. By using the Service, you represent that you meet this requirement.
  2. Account Accuracy: You agree to provide accurate, current, and complete information about yourself when creating an account, and to maintain and promptly update that information if there are changes.
  3. Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately if you suspect unauthorized access.
  4. Lawful Use: You will use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms.

3. Scope Access & Authorization

  1. Voluntary Consent
    • We will request Google / Gmail scopes only when needed for performing automations you explicitly authorize.
    • You will be clearly informed of which scopes are being requested, why they are needed, and what operations will be performed.
    • Granting these scopes is entirely voluntary; you may decline any permission request.
  2. Use of Granted Access
    • We will use the granted scopes only for the specific tasks you authorized.
    • We do not use scope access for unrelated purposes (e.g. marketing, data harvesting, profiling).
    • We isolate each user's access; we do not cross-share or reuse tokens across different users.
  3. Revoking Access & Disconnection
    • You can revoke or disconnect access at any time via the user interface.
    • Upon revocation, we will immediately disable tokens, remove relevant data, and cease all operations using that access.
    • We will also provide guidance on how you can revoke access from your Google account.
  4. Token Storage & Security
    • Access tokens, refresh tokens, and other sensitive credentials are stored encrypted (e.g. AES-256) in our systems.
    • Tokens are rotated, invalidated, or purged when no longer needed or when revoked.

4. Use of the Service & User Content

  1. User Content & Responsibility
    • You retain ownership of all Content you provide. By using the Service, you grant Zero Day a limited license to process, store, and execute operations on that Content strictly for delivering the Services.
    • You are responsible for all Content supplied via your account. You warrant that such Content does not infringe third-party rights or violate applicable laws.
  2. Permitted & Prohibited Use

    You agree not to use (nor permit others to use) the Service:

    • In violation of any applicable law, regulation, or right of any third party
    • To engage in unauthorized access, hacking, or exploitation
    • To transmit spam, phishing, malware, or unsolicited communications
    • To impersonate another person or misrepresent your affiliation
    • To reverse engineer, decompile, or circumvent security features
    • To disrupt or degrade the performance of the Service or interfere with others' use
  3. Modifications, Updates, & Interruptions

    We reserve the right to modify, suspend, or discontinue features, portions, or the entire Service at any time (with reasonable notice, where practicable).

5. Account Termination & Suspension

  1. By You

    You may close your account or stop using the Service at any time. Upon account deletion, we will delete or anonymize your data per our retention and deletion policies.

  2. By Zero Day

    We reserve the right, in our sole discretion, to suspend or terminate your account (or access) if you breach these Terms, engage in misuse, or otherwise cause harm.

  3. Effect of Termination
    • Termination or suspension does not relieve you of obligations accrued prior to that date.
    • Upon termination, we will cease operations, revoke scopes, and delete or anonymize your data as per policy.

6. Intellectual Property & License

  1. Zero Day IP Rights

    All rights, title, and interest in the Service (software, designs, APIs, UI, logos, trademarks, documentation) are and remain with Zero Day (or its licensors). Nothing herein transfers ownership to you.

  2. License to You

    Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal, lawful automations.

  3. Feedback

    If you provide suggestions, feedback, enhancements, or improvements ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service.

7. Disclaimers, Limitations & Liability

  1. No Warranty

    The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation.

  2. Limitation of Liability

    To the maximum extent permitted under Indian law, Zero Day and its affiliates, directors, employees, or agents will not be liable for:

    • Any indirect, incidental, consequential, special, punitive, or exemplary damages
    • Loss of profits, revenue, data, or business opportunities
    • Claims arising from your misuse, third-party actions, or your negligence
  3. Exceptions

    Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Indian law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Zero Day, its officers, employees, agents, and partners from any and all claims, liabilities, damages, losses, expenses (including legal fees) arising from:

  • Your violation or breach of these Terms
  • Your use or misuse of the Service
  • Your Content or claims made by third parties arising from your actions

9. Governing Law, Disputes & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, in particular the laws applicable in the State of Kerala. Any dispute, controversy, or claim arising out of or in relation to these Terms or the Service shall be submitted to the courts in Kerala, India, and you consent to exclusive jurisdiction there.

10. Changes to Terms & Notice

  • We may revise these Terms from time to time. When material changes occur, we will notify you before they take effect.
  • Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
  • We will maintain the "Last updated" date at the top.

11. Severability & Waiver

If any provision of these Terms is found invalid or unenforceable by a competent court, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force. Failure or delay by us to enforce any right or provision does not constitute waiver.

12. Miscellaneous

  • Entire Agreement: These Terms (together with the Privacy Policy) constitute the entire agreement between you and Zero Day regarding the Service.
  • No Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent.
  • Notices: Notices may be given via email or through the Service.
  • Relationship: Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship.
